1. Agreement to Terms
By accessing or using MyTradeMate ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.
2. Description of Service
MyTradeMate is a cloud-based software platform that provides:
- Appointment and calendar management
- Quote generation and management
- Invoice creation and payment tracking
- Client relationship management
- Business document generation (PDF quotes/invoices)
- Email communication services
3. Account Registration
3.1 Eligibility
You must be:
- At least 18 years old
- A sole trader, partnership, or limited company operating in the UK
- Operating a legitimate trade or service business
- Authorised to bind your business to these Terms
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Ensuring your account information is accurate and up-to-date
4. Subscription Plans and Pricing
4.1 Plan Tiers
MyTradeMate offers three subscription tiers:
STARTER Plan: £14/month (or £154/year, saving 1 month)
- 50 quotes per month
- 20 invoices per month
- 100 clients
- 100 appointments per month
- 200MB file storage
PROFESSIONAL Plan: £24/month (or £264/year, saving 1 month)
- 200 quotes per month
- 75 invoices per month
- 500 clients
- 500 appointments per month
- 1GB file storage
BUSINESS Plan: £34/month (or £374/year, saving 1 month)
- Unlimited quotes
- Unlimited invoices
- Unlimited clients
- Unlimited appointments
- 5GB file storage
- Priority support
4.2 Free Trial
- New accounts receive a 14-day free trial
- No credit card required during trial
- Full access to your selected plan features during trial
- Trial automatically ends after 14 days - subscription begins only if you add payment details
4.3 Billing
- All prices are in British Pounds (GBP)
- All prices include VAT at 20% (as required by UK law)
- Monthly subscriptions bill on the same day each month
- Annual subscriptions bill on the anniversary of your subscription date
- Payment is processed via Stripe, our secure payment provider
4.4 Refunds
- Monthly subscriptions: No refunds for partial months
- Annual subscriptions: Pro-rata refunds available within 30 days of annual renewal
- If you cancel, you retain access until the end of your billing period
- No refunds for accounts terminated for Terms of Service violations
5. Usage Limits and Restrictions
5.1 Plan Limits
- Limits reset monthly (quotes, invoices, appointments)
- Storage limits are cumulative
- Exceeding limits will prevent creation of new resources until:
- Next billing cycle begins, or
- You upgrade to a higher tier, or
- You delete existing resources (for storage)
5.2 Prohibited Activities
You may NOT use MyTradeMate to:
- Violate any laws or regulations
- Infringe intellectual property rights
- Transmit malware, viruses, or harmful code
- Harass, abuse, or harm others
- Send unsolicited marketing (spam) to your clients
- Impersonate others or misrepresent your business
- Interfere with Service security or operation
- Use automated scripts to abuse the Service
- Resell or sublicense the Service
5.3 Consequences of Violations
We reserve the right to:
- Suspend or terminate accounts violating these Terms
- Remove content that violates these Terms
- Report illegal activities to authorities
- Pursue legal action for serious violations
6. Your Data and Content
6.1 Ownership
- You retain all rights to your business data (client lists, quotes, invoices)
- We do not claim ownership of your content
- You grant us a license to host, process, and display your content solely to provide the Service
6.2 Your Responsibilities
You are responsible for:
- Accuracy of data you enter
- Compliance with data protection laws (GDPR) for your clients
- Backing up critical business data
- Lawful use of client information
6.3 Our Use of Your Data
- We will only use your data as described in our Privacy Policy
- We will never sell your data to third parties
- We may use anonymised, aggregated data for service improvement
6.4 Data Retention
- Active accounts: Data retained indefinitely
- Cancelled accounts: Data retained for 30 days, then permanently deleted
- Financial records: Retained for 7 years (HMRC requirement)
- You can export all data before cancellation
7. Intellectual Property
7.1 MyTradeMate Platform
- MyTradeMate software, design, and branding are owned by JMC Software Solutions Ltd
- These Terms do not grant you any ownership rights to the Service
- You may not copy, modify, or reverse-engineer the Service
7.2 Third-Party Services
MyTradeMate integrates with:
- Stripe (payment processing)
- Resend (email delivery)
- Quickbooks (accountancy software)
- Your use of these services is also subject to their respective terms
8. Service Availability and Support
8.1 Uptime
- We aim for 99.5% uptime (excluding planned maintenance)
- We do not guarantee uninterrupted service
- Planned maintenance will be announced in advance when possible
8.2 Support
- Email support: support@mytrademate.co.uk
- Response time: Within 48 hours for STARTER/PROFESSIONAL, 24 hours for BUSINESS
- Support hours: Monday-Friday, 9am-5pm GMT
- Emergency issues addressed as quickly as possible
8.3 Updates and Changes
- We may update the Service with new features or improvements
- Updates will not remove core functionality you've paid for
- We will notify you of significant changes
9. Cancellation and Termination
9.1 Your Right to Cancel
- You may cancel your subscription at any time from the Settings page
- Cancellation takes effect at the end of your current billing period
- You retain access until the end of the paid period
9.2 Our Right to Terminate
We may suspend or terminate your account if:
- You violate these Terms
- Your payment fails and is not resolved within 7 days
- You engage in fraudulent activity
- Required by law
9.3 Effect of Termination
Upon termination:
- Your access to the Service ends immediately (unless you cancelled - then at end of billing period)
- Your data will be deleted after 30 days
- You will not be entitled to a refund (except as stated in Section 4.4)
10. Limitation of Liability
10.1 Service Provided "As Is"
- MyTradeMate is provided without warranties of any kind
- We do not guarantee the Service will meet all your requirements
- We do not guarantee the Service will be error-free
10.2 Limitation of Damages
To the maximum extent permitted by law:
- Our liability is limited to the amount you paid in the last 12 months
- We are not liable for indirect, incidental, or consequential damages
- This includes loss of profits, data, or business opportunities
10.3 Your Responsibility
- You are responsible for your business decisions based on Service data
- You should maintain independent records and backups
- You should verify critical information independently
10.4 Exceptions
Nothing in these Terms limits liability for:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Any other liability that cannot be limited under UK law
11. Changes to Terms
11.1 Notification
- We may modify these Terms at any time
- We will notify you at least 30 days before significant changes
- Notification will be via email and in-app message
- Continued use after changes constitutes acceptance
11.2 Your Rights
- If you disagree with changes, you may cancel your subscription
- Cancellation must occur before the change effective date
- You will not receive a refund for the current billing period
12. Governing Law and Disputes
12.1 Governing Law
- These Terms are governed by the laws of England and Wales
- Any disputes will be subject to the exclusive jurisdiction of English courts
12.2 Dispute Resolution
Before litigation:
- Contact us to resolve the issue informally
- If unresolved, consider mediation or arbitration
- Small claims court is available for claims under £10,000
13. General Provisions
13.1 Entire Agreement
These Terms, our Privacy Policy, and any other referenced policies constitute the entire agreement.
13.2 Severability
If any provision is found unenforceable, the remaining provisions remain in effect.
13.3 Waiver
Our failure to enforce any right does not waive that right.
13.4 Assignment
You may not assign these Terms. We may assign these Terms in connection with a merger or acquisition.
13.5 Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control.
